Upperward Of Lanarkshire Canine Society Constitution And Rules
 
NAME:
The Society shall be called "The Upperward of Lanarkshire Canine Society", (hereinafter referred to as'The Society').
 
OBJECTS:
The objects for which the Society is established are:-
(a) To encourage the breeding of pedigree dogs according to the Kennel Club standards for the various breeds.
(b) To hold such Open and Members' Shows as may be decided by the membership.
 
INTERPRETATION:
For simplicity, the masculine pronoun is used throughout, but the provisions apply equally to males and females.
 
MEMBERSHIP:
Membership of the Society shall be open to all who have the interests of pedigree dogs at heart.  Candidates for membership must be proposed by one fully paid-up member, seconded by another and shall be elected by the committee on a show of hands, acceptance to be determined by a simple majority vote.  Junior membership will be restricted to those under the age of seventeen years.  No member whose subscription is in arrears shall be entitled to take part in the affairs of the Society until such arrears are paid in full.  The society must submit to the Kennel Club a list of members names and addresses, this list is also available for inspection by any member of the Society.
 
VOTING RIGHTS:
Each member, (excepting junior members), shall be entitled to voting rights immediately upon acceptance of membership.  postal votes/prox votes are not allowed.  Voting shall be by secret ballot or show of hands as decided by the majority at the meeting.  In the case of joint membership. each individual will have the right to vote.  Junior members will have no voting rights.
 
OFFICE BEARERS:
Office bearers shall be: Chairman, Vice-chairman, Secretary and Treasurer, all to be resident in Lanarkshire.  The offices of Secretary and Treasurer may at the discretion of the AGM be conjoined.  An honorary President may be appointed at the AGM.  He may attend Committee meetings but shall have no voting rigts.
 
DUTIES OF OFFICE BEARERS:
Chairman:  Shall take the chair at all Society meetings, he shall in the event of an equality of votes have a casting vote only.
Vice-Chairman:  Shall act as Chairman in the absence of the Chairman.  The Secretary shall summon and attend all meetings and take minutes of the proceedings, he shall be responsible for the minutes and the register of meetings of the Society for presentation at the AGM.  He shall also be responsible for all the correspondence on behalf of the Society and for presentation of the required reports to the Kennel Club.
Treasurer:  Shall receive all monies payable to the Society and make such payments as are required, he shall keep proper books of account with regard to:
(i) All sums of money received and expended by the Society and the manner in which receipt or expenditure occurs.
(ii) All sales and purchases by the Society.
(iii) The assets and Liabilities of the Society.
He shall also be responsible for the preparation of a balance sheet at the end of the fnancial year for presentation to the Kennel Club.
 
COMMITTEE:
The management of the Society shall be in the hands of the officers of the Society and a committee consisting of not more than ten members, including office Bearers.  A quorum for a Commitee meeting shall consist of five members including one Office Bearer.  Members of the committee shall be eligible for re-election every year at the AGM. Should an Office Bearer or Committee Member be absent from three consecutive meetings without satisfactory explanation his name shall be struck off the list of Committee Members and the Committee shall appoint a replacement.  The Committee shall have the power to fill any casual vacancies in it's membership, giving first consideration to those candidates whith  the highest number of votes at the AGM.  In the absence of the Chairman and Vice-Chairman the membership shall the right, provided that a quorum is present to elect one of their members to act as Chairman for that meeting only. No person whilst an undischarged bakrupt may serve on the Committee of, or hold any other office or appointment within a Kennel Club registered Society.
 
SUBSCRIPTION:
The annual subscriptions shall be such an amount as agreed by members in the General Meeting and notified to the Kennel Club and is  payable to the Treasurer by the first day of January each year.  No member whose subscription is unpaid, is entitled to any of the privileges of membership and if the member shall fail to pay the annual subscription by the first day of March, he shall cease to be a member and his name shall be automatically erased from the list of members.
 
EXPULSION OF MEMBERS:
Any members who shall be suspened under the Kennel Club Rule A42j(4) and/or any member whose dog(s) is/are disqualified under Kennel Club Rule A42(j) shall ipso facto cease to be a member of the Society for the duration of the suspension and/or disqualification.  If the conduct of any member shall in the opinion of the Committee of the Society be injurious or likely to be injurious to the character or interests of the Society, the Society may at a meeting the notice convening which includes as an object the consideration of the conduct of the member, determine that a special General Meeting of the Society shall be called for the purpose of passing a resolution to expel him/her.  Notice of the Special General Meeting shall be sent to the accused member, giving particulars of the complaint and advising the place, date and hour of the meeting so that he/she may attend and offer an explanation.  If at the meeting a resolution to expel is passed by a two-thirds majority of those members present and voting, his/her name shall forthwith be erased from the list of members and he/she shall thereupon cease for all purposes to be a member of the Society, except that he/she may, within two calendar months from the date of such meeting appeal to the Kennel Club upon and subject to such conditions as the Kennel Club may impose.
 
FINANCIAL YEAR:
The financial year of the Society shall be from 1st January to 31st December.
 
AUDITORS:
Auditors shall be elected at the AGM
 
GENERAL MEETINGS:
The Annual General Meeting shall be held as soon as possible after the closure of the financial year and certainly by the last day of February.  At least twenty eight clear days notice shall be given to the Membership of the date, time and place of the AGM either in writing or by the placement of a notice in the Dog Press.  A quorum for a General Meeting shall consist of ten members.
The purpose of the AGM shall be:-
i)  To receive the minutes of the previous AGM.
ii)  To receive the Secretary's report on the proceedings of the Society and the finanicial balance sheet.
iii)  To elect Office Bearers, Members of Committee and Auditors of the Society.
iv)  To discuss and decide upon any resolutions or other items placed on the Agenda, which will be circulated at the meeting.  Such resolutions and items must be in the hands of the Secretary not less than fourteen days prior to the date of the meeting.  No business shall be transacted at an AGM unless notice thereof appears on the Agenda, with the exception of routine matters or those which in the opinion of the Chairman of the meeting are urgent.
 
SPECIAL GENERAL MEETINGS:
A Special Meeting may be called by the committe at any time, or on the written requisition of a minimum of ten members and duly signed by them, stating the business to be discussed.  Notice of such meetings shall be circulated to the Membership in writing, stating the business to be discussed, not less than fourteen days before the date of the meeting.  No business other than that specifically stated in the notice shall be consideed at such a meeting.
 
CONSITUTION AND RULES:
The constitution and Rules of the Society shall form the basis of membership and may not be altered except at an Annual or Special General Meeting.  Such alterations shall not be brought into force until the Kennel Club has been informed and has approved the alteration.
 
SOCIETY ACCOUNTS:
A Bank Account and/or Building Society Account shall be opened in the name of the Society, into which all the revenue accuring to the Society shall be paid and from which withdrawals may be made only on the signature of the two Officers, one of which shall be the Treasurer.
 
DISSOLUTION:
The Society shall not be dissolved so long as ten members wish to continue.  In the event of the Society ceasing to exist, the property of the Society shall, where possible, be returned to the donors.  Cash assets shall be distributed by decision of a General Meeting and a final statement of Audited Accounts, with a record of the disposal of the property of the Society, shall be forwarded to the Kennel Club within six months.  The persons named as Officers and Committee Members on the last return furnished to the Kennel Club will be held reponsible by the Kennel Club for the proper winding up of the Society.
 
NOTICES:
A notice may be given to the Society by any member:-
a)  Personally.
b)  By intimation in "Dog World" and "Our Dogs".
c)  By sending it to him by post, at his registered address.  Service of a notice sent by post, properly addressed, pre-paid and posted, shall be deemed to have been effected at the expiration of five clear days after dispatch.
 
ANNUAL RETURNS TO THE KENNEL CLUB:
The Officers acknowledge that during the month of January each year, maintenance of Title Fees will be forwarded to the Kennel Club by the Secretary for continuance of Registration, and that by 31st July each year, other returns, as stipulated in the Kennel Club Regulations for the Registation and Maintenance of Title of Societies and Municipal Authorities, including a list of members, names and addresses, be forwarded to the Kennel Club.  The Officers also acknowledge their duty to inform the Kennel Club of any changes of Secretary of the Society which may occur during the course of the year.
 
MEMBERSHIP OF FEDERATIONS:
The Society shall not join any federation of Societies or Clubs.
 
KENNEL CLUB FINAL COURT APPEAL:
The Kennel Club shall be the final Court of Appeal in interpretating the Constitution and Rules of the Society in all matters of dispute and in all cases relative to canine or Society matters.
